1. Acceptance of Terms and Eligibility

1.1 Agreement to Be Bound

By accessing or using the MedicalYou application (including the website, iOS application, and Android application bearing the bundle identifier com.medicalyouglobal.app), you agree to be legally bound by these Terms of Service (“Terms”) and all documents incorporated herein by reference, including the MedicalYou Privacy Policy and the Consent Modules described in Section 20. If you do not agree to these Terms in their entirety, you must not access or use the Service.

1.2 Eligibility — Age

You must be at least eighteen (18) years of age to create an account and use the Service. By accepting these Terms, you represent and warrant that you are at least 18 years old. The Service is intended for adults and is not directed to, or available to, individuals under 18. Where an adult uses the family/carer functionality to manage the health records of a dependant who is under 18, that adult must be the parent or lawful guardian (or otherwise lawfully authorised) and accepts responsibility for the dependant’s account and data. Medical You Pte. Ltd reserves the right to suspend or terminate any account it reasonably believes to belong to a user under 18 years of age. Our full minimum-age and age-assurance position is set out in our Children’s Data and Age-Gating Policy.

1.3 Eligibility — Legal Capacity

You represent and warrant that you have the legal capacity to enter into a binding contract in the jurisdiction in which you reside. If you are accepting these Terms on behalf of another person in your capacity as a legally authorised representative (for example, a parent managing a minor’s account, or a legal guardian), you represent that you have the authority to bind that person to these Terms.

1.4 Eligibility — Geographic Restrictions

The Service is principally offered to users in Singapore and the United Arab Emirates, but may be accessed from other jurisdictions. You are responsible for ensuring that your use of the Service complies with the laws of your jurisdiction. Medical You Pte. Ltd makes no representation that the Service is appropriate, lawful, or available in all jurisdictions.

1.5 Changes to Eligibility

Medical You Pte. Ltd reserves the right to modify eligibility requirements at any time. Updated requirements will take effect upon publication of revised Terms in accordance with Section 16.

2. Definitions

In these Terms, the following words and expressions have the meanings assigned to them below:

“Account” means the registered user account created by you to access the Service, authenticated via Clerk.

“Aggregated Data” means statistical or group-level outputs derived from data contributed by multiple users, containing no individual-level records and from which no individual user can reasonably be identified.

“Anonymised Data” means data that has been irreversibly processed so that it no longer relates to an identified or identifiable natural person by any means reasonably likely to be used, consistent with GDPR Recital 26 and analogous standards. Anonymised Data is not Personal Data and falls outside the scope of data-protection legislation applicable to Personal Data.

“AI Outputs” means any summaries, health insights, recommendations, or other content generated by artificial-intelligence or machine-learning models (provided by Anthropic and accessed through the Vercel AI Gateway) based on your User Content.

“Clerk” means Clerk, Inc., the third-party identity and authentication provider used to manage Account creation and sign-in.

“Company”, “Medical You”, “we”, “us”, or “our” means Medical You Pte. Ltd, a company incorporated in Singapore with its registered address at 160 Robinson Road, #14-04, Singapore Business Federation Center, Singapore 068914.

“Content” means any text, data, files, images, documents, or other material.

“De-identified Data” means data from which identifying information has been removed or obscured to a standard that satisfies applicable de-identification frameworks (including, in respect of US-origin data, the Safe Harbor or Expert Determination methods under HIPAA 45 CFR § 164.514), such that the data is no longer capable of identifying an individual within the meaning of applicable law.

“Health Data” means information relating to the physical or mental health of a natural person, including information about health-related genetic characteristics, and constitutes special-category personal data under GDPR Article 9 and sensitive personal data under analogous laws including the Singapore Personal Data Protection Act 2012 (as amended) (“PDPA”), the UAE Federal Decree-Law No. 45 of 2021 on Personal Data Protection (“UAE PDPL”), and the California Privacy Rights Act (“CPRA”).

“Identifiable Health Data” means Health Data that relates to or can be used to identify a specific natural person.

“Identifiable Personal Information” means Personal Data that relates to or can be used to identify a specific natural person, including by reference to an identifier such as a name, identification number, location data, or online identifier.

“Personal Data” means any information relating to an identified or identifiable natural person, as defined under GDPR Article 4(1) and Singapore PDPA section 2.

“Pseudonymised Data” means data that has been processed such that it can no longer be attributed to a specific individual without the use of additional information kept separately. Pseudonymised Data remains Personal Data and Health Data; it is not Anonymised Data and is not within the commercially licensable or saleable category of data described in Section 5.5. See GDPR Article 4(5) and ICO guidance on personal data.

“Service” means the MedicalYou personal health record application, including the web application hosted on Vercel, the iOS and Android mobile applications (bundle identifier: com.medicalyouglobal.app), all associated application programming interfaces, AI processing features, and any related services provided by Medical You Pte. Ltd.

“Terra” means Terra Enabling Technologies Limited, the third-party integration provider used to connect wearable device data to the Service.

“User”, “you”, or “your” means any individual who accesses or uses the Service under these Terms.

“User Content” has the meaning given in Section 5.1.

3. Description of Service

3.1 Personal Health Record

MedicalYou is a personal health record application that enables users to upload, store, organise, and manage their own health and medical information in a single, secure digital location. The Service allows users to upload and store: laboratory test reports; medical imaging reports; prescriptions and medication records; personal health notes; wearable device data (connected via Terra); profile and demographic information; emergency contact details; and family or carer relationship data.

3.2 AI Summaries and Health Insights

The Service uses artificial-intelligence models provided by Anthropic and accessed through the Vercel AI Gateway to generate AI Outputs, including automated summaries of uploaded documents, trend analyses, and health insights. These AI Outputs are provided solely as informational tools to assist users in understanding and organising their own health records. They are not medical advice. Please read the Medical Disclaimer in Section 5 and the AI Disclaimer in Section 6 carefully.

3.3 Technical Infrastructure

The Service is operated on the following technical infrastructure: web application presentation layer via Vercel; backend API and data processing on Amazon Web Services (AWS) in the ap-southeast-1 (Singapore) region; structured health records stored in Amazon Aurora PostgreSQL; documents, imaging files, avatars, and audit archives stored in Amazon S3; session caching and rate-limiting via Amazon ElastiCache; AI processing via the Vercel AI Gateway and Anthropic; authentication and identity management via Clerk; and wearable data integration via Terra.

3.4 Not a Healthcare Provider

Medical You Pte. Ltd is a technology company, not a healthcare provider, medical practice, clinic, hospital, or regulated health service. Nothing in the Service constitutes the practice of medicine, nursing, pharmacy, psychology, or any other licensed healthcare profession.

3.5 Service Evolution

The Service may evolve over time, including through the introduction of new features, the modification of existing features, or the deprecation of particular functionalities. Medical You will provide reasonable notice of material changes in accordance with Section 16.

4. Account Terms

4.1 Account Creation and Authentication

To access the full functionality of the Service, you must create an Account. Account registration and authentication are managed by Clerk. By creating an Account, you agree to provide accurate, current, and complete information during registration and to update that information promptly if it changes.

4.2 Account Security

You are solely responsible for maintaining the confidentiality and security of your Account credentials, including your password or any authentication tokens issued by Clerk. You agree to: (a) select a strong, unique password and not reuse passwords from other services; (b) enable multi-factor authentication if and when offered by the Service; (c) not share your Account credentials with any other person; (d) notify us immediately at hello@medicalyouglobal.com if you suspect any unauthorised access to or use of your Account; and (e) ensure that you log out of your Account at the end of each session, particularly on shared or public devices.

4.3 Responsibility for Account Activity

You are responsible for all activity that occurs under your Account, whether or not you authorised it, except to the extent that such activity results from our failure to maintain reasonable security measures. Medical You Pte. Ltd is not liable for any loss or damage arising from your failure to comply with this Section 4.

4.4 Accuracy of Account Information

You represent and warrant that all information you provide in connection with your Account is accurate and not misleading. You must not impersonate any person or entity or misrepresent your affiliation with any person or entity.

4.5 One Account per Person

Each natural person is permitted to maintain one Account on the Service. You must not create multiple Accounts for the same individual. The creation of multiple Accounts to circumvent any suspension, termination, or restriction imposed by Medical You Pte. Ltd is a breach of these Terms and may result in permanent exclusion from the Service.

4.6 Account Accuracy Obligation

Given the sensitive nature of health data stored in the Service, it is particularly important that the information in your Account and uploaded health records is accurate. Medical You Pte. Ltd is not liable for any consequences arising from inaccurate information that you have uploaded or entered into the Service.

5. User Content and Licence

5.1 User Content Defined

“User Content” means any Content that you upload, submit, store, or otherwise make available through the Service, including without limitation: laboratory test reports; medical imaging reports and radiology documents; prescriptions and medication records; personal health notes and diary entries; wearable device data synchronised via Terra; profile photographs and avatars; and any other health-related documents or records.

5.2 Ownership of User Content

You retain full ownership of all intellectual property rights in your User Content. Nothing in these Terms transfers ownership of your User Content to Medical You Pte. Ltd. Medical You’s rights in respect of your User Content are strictly limited to the licences granted in Sections 5.3 and 5.5.

5.3 Limited Licence for Service Provision

By uploading or submitting User Content to the Service, you grant Medical You Pte. Ltd a limited, non-exclusive, worldwide, royalty-free licence to: host, store, and back up your User Content; process and parse your User Content for the purpose of enabling the Service’s features; transmit your User Content to the Service’s infrastructure components described in Section 3.3; and use your User Content as input to generate AI Outputs using Anthropic via the Vercel AI Gateway, solely for the purpose of providing the AI Outputs to you.

This licence is granted solely for the purpose of operating, maintaining, and improving the Service as experienced by you individually. Medical You Pte. Ltd will not use your identifiable User Content for any purpose beyond the scope set out in this Section 5.3, except as expressly stated in Section 5.5 (Anonymised / De-identified / Aggregated Data) or as required by law.

5.4 What Medical You Does NOT Sell or Disclose

Medical You Pte. Ltd does not sell, rent, commercially disclose, or otherwise exploit for commercial gain:

  • your Identifiable Personal Information;
  • your Identifiable Health Data;
  • special-category personal data as defined under applicable data-protection law (including GDPR Article 9);
  • Pseudonymised Data (which remains Personal Data and Health Data);
  • protected health information within the meaning of HIPAA (to the extent applicable); or
  • any other data that can be used, directly or indirectly, to identify you as a natural person.

This commitment is not a general prohibition on all data use; it is a specific prohibition on commercial exploitation of identifiable or re-identifiable data. Medical You’s rights in relation to Anonymised, De-identified, and Aggregated Data are described separately and precisely in Section 5.5 below.

5.5 Anonymised, De-identified, and Aggregated Data — Preserved Commercial Right

5.5.1 Nature of the Right. Subject to compliance with this Section 5.5 and the Privacy Policy, Medical You Pte. Ltd expressly reserves, and you acknowledge, the right to: create, process, generate, use, disclose, licence, and sell datasets and outputs derived from User Content that have been properly and irreversibly anonymised, de-identified, or aggregated (“Processed Datasets”), provided that such Processed Datasets:

  • cannot reasonably be used to identify you or any other individual by any means reasonably likely to be employed, consistent with the standard articulated in GDPR Recital 26;
  • have been produced using appropriate technical and organisational anonymisation or de-identification methods, which may include (without limitation) the Safe Harbor method or Expert Determination method described in 45 CFR § 164.514 and HHS de-identification guidance, as well as generalisation, suppression, noise addition, aggregation, and k-anonymity techniques; and
  • are subject to contractual no-re-identification obligations imposed on any recipient of such Processed Datasets. Every recipient of Processed Datasets must contractually agree: (i) not to attempt to re-identify any individual from the Processed Datasets; (ii) not to link Processed Datasets with other data sources for the purpose of re-identification; and (iii) to impose equivalent obligations on any onward recipient.

5.5.2 Consent for Creation from Health Data. Because the pre-anonymisation processing of Health Data (which constitutes special-category data) is itself subject to data-protection requirements, Medical You Pte. Ltd will seek your separate, granular, opt-in consent (presented as a default-OFF toggle, distinct from your consent to core service operation) before using your individually-contributed Health Data as input to the anonymisation pipeline. This consent mechanism is described in the Consent Module for Anonymised Data Commercialisation incorporated by reference in Section 20. Your decision not to grant this consent will not affect your ability to use the Service.

5.5.3 Survival. The rights of Medical You Pte. Ltd under this Section 5.5 in respect of Processed Datasets that have already been created and delivered to third parties prior to termination of your Account survive the termination or expiry of these Terms. For the avoidance of doubt, Processed Datasets that are genuinely anonymous are not capable of being “deleted” on a per-user basis as they contain no information by which you can be identified.

5.5.4 Definitions Cross-Reference. For the avoidance of doubt, “Pseudonymised Data” (as defined in Section 2) is explicitly excluded from the Processed Datasets category. Pseudonymised Data is Personal Data, remains subject to all applicable data-protection obligations, and is never sold or commercially exploited.

5.6 Warranties in Respect of User Content

By submitting User Content, you represent and warrant that: (a) you own the User Content or have all necessary rights and authorisations to upload it and to grant the licences in Section 5.3; (b) the upload and processing of your User Content does not infringe any third-party intellectual property rights, privacy rights, or other rights; (c) you are uploading your own health data and not the health data of another person without their express, informed consent or other lawful basis; and (d) your User Content does not violate any applicable law.

6. Medical Disclaimer

THIS SECTION IS IMPORTANT. PLEASE READ IT CAREFULLY.

6.1 NOT MEDICAL ADVICE. The Service, including all AI Outputs, summaries, health insights, document parsing results, and any other Content generated or displayed by MedicalYou, does not constitute and must not be construed as medical advice. Medical You Pte. Ltd is a technology company, not a healthcare provider. Nothing provided through the Service constitutes the practice of medicine, nursing, dentistry, pharmacy, psychology, physiotherapy, or any other regulated healthcare profession.

6.2 NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL JUDGEMENT. The Service is not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of a qualified physician, specialist, or other licensed healthcare provider with any questions you may have regarding a medical condition, symptoms, or treatment options. Never disregard professional medical advice, or delay in seeking it, because of something you have read, seen, or received through the Service.

6.3 NO DIAGNOSIS OR TREATMENT. The Service does not provide, and must not be used to seek or replace, medical diagnosis or medical treatment. Any information generated by the Service regarding health conditions, symptoms, medications, or treatment options is for informational and organisational reference only. It is not a clinical assessment of your individual health status.

6.4 NO EMERGENCY CARE — CALL EMERGENCY SERVICES. The Service is not an emergency medical service and must not be used in a medical emergency. If you are experiencing a medical emergency, a life-threatening situation, or believe you or someone else requires immediate medical attention, stop using this application immediately and contact your local emergency services: - Singapore: 995 (ambulance / emergency) - UAE: 998 (ambulance) - United Kingdom: 999 (ambulance) - United States: 911 - Other jurisdictions: contact the applicable local emergency number

6.5 NOT A REGULATED MEDICAL DEVICE. MedicalYou is not a regulated medical device and has not been evaluated, approved, cleared, or registered by any medical device regulatory authority, including (without limitation) the Health Sciences Authority (HSA) of Singapore, the US Food and Drug Administration (FDA), the UK Medicines and Healthcare products Regulatory Agency (MHRA), or the UAE Ministry of Health and Prevention. The Service must not be used as a diagnostic tool or for any clinical decision-making purpose.

6.6 NO DOCTOR-PATIENT RELATIONSHIP. Use of the Service does not create a doctor-patient relationship, therapist-patient relationship, or any other professional healthcare relationship between you and Medical You Pte. Ltd or any of its employees, contractors, or agents. Medical You Pte. Ltd has no duty of care to you in respect of your medical condition, treatment, or health outcomes.

7. AI Disclaimer

7.1 Nature of AI Outputs

The Service uses large-language and machine-learning models provided by Anthropic and accessed through the Vercel AI Gateway to generate AI Outputs, including automated document summaries and health insights. Artificial intelligence and machine-learning technologies are inherently probabilistic and can produce outputs that are inaccurate, incomplete, misleading, out of date, or contextually inappropriate.

7.2 AI Outputs are Informational Only

AI Outputs are provided for informational and organisational reference purposes only. They are intended to help you understand and navigate your own health records more easily. They are not a substitute for the review, interpretation, or advice of a qualified clinician who has examined you and is familiar with your full medical history and circumstances.

7.3 Obligation to Verify

You acknowledge that you must independently verify any AI Output with a qualified healthcare professional before relying on it in connection with any health or medical decision. Medical You Pte. Ltd strongly recommends that you share relevant AI Outputs with your treating clinician, who should review the underlying source documents directly.

7.4 No Reliance for Medical Decisions

You agree that you will not rely solely on AI Outputs to make any decision concerning your health, including decisions about medications, treatment, procedures, or lifestyle changes. Medical You Pte. Ltd expressly disclaims all liability for any harm, loss, injury, or damage arising from your reliance on AI Outputs for any medical or health-related decision.

7.5 No Guarantee of Accuracy

Medical You Pte. Ltd does not warrant or guarantee the accuracy, completeness, currency, fitness for purpose, or reliability of any AI Output. AI Outputs may reflect the limitations of the underlying training data, the quality of the User Content provided as input, and other technical constraints.

8. Acceptable Use and Prohibited Conduct

8.1 General Obligation

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not use the Service in any manner that is unlawful, harmful, fraudulent, deceptive, or that infringes any third-party right.

8.2 Prohibited Conduct

Without limiting the generality of Section 8.1, you agree that you will not:

(a) Unlawful Use. Use the Service for any purpose that violates any applicable local, national, or international law, regulation, or legally binding order, including data-protection law, health information privacy law, consumer-protection law, and regulations governing health information in your jurisdiction.

(b) Uploading Another Person’s Data Without Authority. Upload, submit, or store the personal data, health data, or any other information of another individual without that individual’s express, informed consent or another valid legal basis. You must not upload health records, test results, prescriptions, imaging, or any other health information of a third party unless you hold express written authorisation from that individual (or, in the case of a minor child, their parent or guardian) or are otherwise lawfully authorised to do so (for example, as a court-appointed legal guardian).

(c) Reverse Engineering. Decompile, disassemble, reverse-engineer, or otherwise attempt to derive the source code, algorithms, models, or underlying structure of the Service, the AI models, or any component thereof, except to the extent that applicable law expressly prohibits such restriction.

(d) Security Circumvention. Attempt to probe, scan, test, or circumvent any security, authentication, or access-control mechanism of the Service; exploit any vulnerability in the Service; introduce any malicious code, virus, worm, Trojan, or other harmful software; or perform any denial-of-service or distributed denial-of-service attack.

(e) Re-identification Attempts. Attempt to re-identify, de-anonymise, or reverse the anonymisation or de-identification of any Processed Dataset or any data you obtain or infer from the Service, whether that data originates from your own records or from other users’ data.

(f) Automated Scraping or Harvesting. Use any automated tools, robots, spiders, crawlers, or scrapers to access the Service in a manner that exceeds normal user activity or that harvests data from other users’ accounts.

(g) Impersonation and Misrepresentation. Impersonate any person or entity, or falsely represent your identity, qualifications, or affiliation.

(h) Interference with the Service. Take any action that imposes an unreasonable or disproportionately large load on the Service’s infrastructure; interfere with or disrupt the integrity or performance of the Service; or circumvent any rate limits imposed by ElastiCache or other infrastructure components.

(i) Commercial Exploitation Without Authorisation. Resell, sublicense, or commercially exploit the Service or your access to it for the benefit of third parties without the prior written consent of Medical You Pte. Ltd.

8.3 Consequences of Breach

A breach of this Section 8 may result in immediate suspension or termination of your Account in accordance with Section 11, and may expose you to civil or criminal liability. Medical You Pte. Ltd reserves the right to report suspected unlawful conduct to relevant law-enforcement authorities.

9. Third-Party Integrations

9.1 Nature of Third-Party Integrations

The Service integrates with third-party products, services, and platforms to deliver certain features. These third-party integrations include, without limitation:

  • Clerk: identity and authentication services;
  • Terra: wearable device data webhooks and integrations (including but not limited to fitness trackers, smartwatches, continuous glucose monitors, and other health-monitoring devices); and
  • Apple App Store / Google Play Store: distribution of the iOS and Android mobile applications.

9.2 No Responsibility for Third-Party Services

Medical You Pte. Ltd does not own, control, operate, or endorse any third-party services. You acknowledge and agree that:

  • each third-party provider operates under its own terms of service, privacy policy, and other applicable agreements (“Third-Party Terms”);
  • Medical You Pte. Ltd is not responsible for the availability, reliability, accuracy, security, legality, or content of any third-party service;
  • any claim, loss, or dispute arising from your use of a third-party service is a matter between you and the relevant third-party provider, and Medical You Pte. Ltd shall have no liability in connection therewith; and
  • if a third-party integration is suspended, discontinued, or modified by the third-party provider, Medical You Pte. Ltd may not be able to maintain the related Service feature and will not be liable for any resulting reduction in functionality.

9.3 Review of Third-Party Terms

You are responsible for reviewing and complying with the Third-Party Terms of any third-party service you use in connection with the Service. In particular:

  • Use of wearable integrations is subject to Terra’s terms of service and the terms of the applicable wearable device manufacturer;
  • Distribution through the Apple App Store is subject to Apple’s terms and conditions; and
  • Distribution through the Google Play Store is subject to Google’s terms and conditions, including the Google Play Data Safety policy.

9.4 Links and Referrals

The Service may contain links to third-party websites, resources, or services. Such links are provided for convenience only and do not constitute an endorsement or approval by Medical You Pte. Ltd of the linked content, products, or services. Medical You Pte. Ltd is not responsible for the content of any linked third-party website or service.

10. Payments and Subscriptions

10.1 Current Offering

The current version of the Service is provided free of charge. No payment is required to create an Account or access the features currently available.

10.2 Future Paid Tiers

Medical You Pte. Ltd intends to introduce paid subscription tiers and premium features in the future. When paid tiers are introduced, the following provisions will apply:

(a) Billing. Subscription fees will be charged in advance on a periodic basis (monthly or annual, as selected at the time of purchase), via the payment method designated by you at the time of subscription. All fees will be stated in the applicable currency and will be inclusive or exclusive of goods and services tax (GST), value-added tax (VAT), or other applicable taxes as specified at the time of purchase.

(b) Automatic Renewals. Subscriptions will renew automatically at the end of each billing cycle unless you cancel prior to the renewal date. You will be notified of any change to your subscription fee at least thirty (30) days prior to the renewal date.

(c) Cancellation. You may cancel your subscription at any time via your Account settings or by contacting hello@medicalyouglobal.com. Cancellation will take effect at the end of the current billing period; you will retain access to paid features until that date.

(d) Refunds. Medical You Pte. Ltd will publish a refund policy at the time paid tiers are introduced, which will comply with applicable consumer-protection legislation, including the Singapore Consumer Protection (Fair Trading) Act 2003 and any applicable app store refund obligations.

(e) Pricing Changes. Medical You Pte. Ltd reserves the right to change subscription pricing with reasonable advance notice, as further described in Section 16.

10.3 App Store Billing

Where subscriptions are purchased through the Apple App Store or Google Play Store, billing, cancellation, and refund processes are governed by the applicable app store’s terms. In such cases, Medical You Pte. Ltd does not process payment directly and has no ability to issue refunds outside the app store process.

11. Suspension and Termination

11.1 Termination by You

You may close your Account and terminate these Terms at any time by: (a) using the account deletion feature within your Account settings; or (b) contacting us at hello@medicalyouglobal.com with a written request for account deletion. Your request will be processed in accordance with the deletion and data-retention provisions set out in the Privacy Policy.

11.2 Suspension or Termination by Medical You

Medical You Pte. Ltd may suspend or terminate your Account and your access to the Service, with or without prior notice, if:

  • you breach any provision of these Terms, including the acceptable use obligations in Section 8;
  • we are required to do so by applicable law, court order, or regulatory directive;
  • we reasonably believe that your Account has been compromised or is being used fraudulently or for unlawful purposes;
  • you have not accessed the Service for an extended period and, following reasonable notice, have not confirmed your wish to retain your Account;
  • we cease to operate the Service in whole or in part; or
  • any other circumstance arises in which we determine, acting reasonably, that suspension or termination is necessary to protect the Service, other users, or Medical You Pte. Ltd.

11.3 Notice of Termination

Where practicable and not prohibited by law, Medical You Pte. Ltd will provide you with reasonable advance notice of termination, together with the reason for termination. Where termination is for breach of these Terms, we will provide you with an opportunity to remedy the breach (where it is capable of remedy) within a reasonable period before terminating your Account, except where the breach is of a nature that warrants immediate termination (such as a security circumvention or re-identification attempt under Section 8.2(d) and 8.2(e)).

11.4 Effect of Termination on Data

Upon termination or closure of your Account:

  • Export Window. You will have a period of thirty (30) days from the date of notice of termination (or from the date you initiate Account deletion) in which to export a copy of your User Content. Medical You Pte. Ltd will maintain a data-export feature to facilitate this. Following the expiry of the export window, we will delete or anonymise your identifiable User Content in accordance with our retention schedule set out in the Privacy Policy, except where retention is required by applicable law.
  • Cessation of Licence. The licence you granted to Medical You Pte. Ltd under Section 5.3 will cease upon the deletion of your identifiable User Content, subject to Section 5.5.3 (survival of rights in Processed Datasets).
  • Termination Does Not Affect Accrued Rights. Termination of these Terms does not affect any rights or liabilities that have accrued prior to termination, including any outstanding payment obligations (once paid tiers are introduced) or any claims arising from breaches of these Terms.
  • Survival. Sections 2, 5.2, 5.4, 5.5.3, 6, 7, 11.4, 12, 13, 14, 15, and 17 survive the termination or expiry of these Terms.

12. Disclaimers of Warranties

12.1 As-Is Basis

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MEDICAL YOU PTE. LTD DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION:

  • implied warranties of merchantability, fitness for a particular purpose, satisfactory quality, and non-infringement;
  • warranties that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components;
  • warranties regarding the accuracy, completeness, currency, or reliability of any AI Outputs or other Content generated by the Service;
  • warranties that the Service will meet your requirements or expectations; and
  • warranties arising from course of dealing, usage, or trade practice.

12.2 Consumer Rights Not Affected

Nothing in this Section 12 limits or excludes any warranty, guarantee, or right that cannot be excluded under applicable mandatory consumer-protection law, including the Singapore Consumer Protection (Fair Trading) Act 2003. Where such laws apply, Medical You Pte. Ltd’s liability is limited to the fullest extent permitted by those laws.

12.3 Health Information Disclaimer

Medical You Pte. Ltd does not warrant that the Service is clinically accurate, fit for use in healthcare decision-making, or compliant with any clinical standard or guideline. The Service is not validated for clinical use.

13. Limitation of Liability

13.1 Exclusion of Indirect and Consequential Loss

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL MEDICAL YOU PTE. LTD, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY:

  • loss of profits, revenue, business, or anticipated savings;
  • loss of data or information (other than as expressly provided in Section 11.4);
  • loss of goodwill or reputation;
  • indirect, incidental, special, exemplary, punitive, or consequential loss or damage of any nature;

arising out of or in connection with these Terms or the Service, whether based in contract, tort (including negligence), strict liability, or otherwise, and even if Medical You Pte. Ltd has been advised of the possibility of such damages.

13.2 Aggregate Cap

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MEDICAL YOU PTE. LTD’S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, WILL NOT EXCEED THE GREATER OF:

  • the total fees paid by you to Medical You Pte. Ltd in the twelve (12) months preceding the event giving rise to the claim; or
  • SGD 100 (one hundred Singapore Dollars),

whichever is the higher amount.

13.3 Consumer-Protection Carve-Out (Singapore)

Nothing in this Section 13 excludes or limits Medical You Pte. Ltd’s liability for:

  • death or personal injury caused by Medical You Pte. Ltd’s gross negligence or wilful misconduct;
  • fraud or fraudulent misrepresentation;
  • any other liability that cannot be excluded or limited under applicable Singapore law, including liability under the Consumer Protection (Fair Trading) Act 2003; or
  • any liability that cannot be excluded or limited under applicable law in the jurisdiction of your habitual residence where you are a consumer, to the extent that such law applies mandatorily to these Terms.

13.4 Essential Basis of Bargain

You acknowledge that the limitations and exclusions in this Section 13 reflect a reasonable and proportionate allocation of risk between you and Medical You Pte. Ltd, and that Medical You Pte. Ltd would not have entered into these Terms without such limitations. The Service is provided free of charge (at the current time), and the liability cap reflects this consideration.

14. Indemnity

14.1 User Indemnity Obligation

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Medical You Pte. Ltd and its directors, officers, employees, agents, contractors, affiliates, and licensors from and against any and all claims, demands, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • your use of the Service in breach of these Terms;
  • any User Content you upload, submit, or store through the Service, including any claim that your User Content infringes the rights of a third party;
  • your breach of any representation or warranty made in these Terms;
  • your violation of any applicable law or regulation; or
  • your uploading of another person’s health data or personal data without proper authority.

14.2 Procedure

Medical You Pte. Ltd will: (a) notify you promptly in writing of any claim for which it seeks indemnification; (b) give you reasonable control of the defence and settlement of the claim (provided that you may not settle any claim that imposes any obligation or liability on Medical You Pte. Ltd without its prior written consent); and (c) provide you with reasonable assistance in the defence of the claim, at your expense.

15. Intellectual Property of Medical You

15.1 Ownership

As between you and Medical You Pte. Ltd, all intellectual property rights in and to the Service, including the software, source code, object code, algorithms, models, user interface designs, graphics, text, trade marks, trade names, service marks, logos, and all other Content created by or on behalf of Medical You Pte. Ltd, are and remain the exclusive property of Medical You Pte. Ltd and its licensors. Nothing in these Terms transfers to you any ownership of or title to Medical You’s intellectual property.

15.2 Restricted Licence

Subject to your compliance with these Terms, Medical You Pte. Ltd grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service for your personal, non-commercial purposes. This licence does not include the right to: copy, modify, or create derivative works based on the Service or any component thereof; distribute, publicly display, or publicly perform the Service; reverse-engineer or disassemble the Service; or remove, alter, or obscure any proprietary notice on the Service.

15.3 Feedback

If you provide Medical You Pte. Ltd with any feedback, suggestions, ideas, or recommendations regarding the Service (“Feedback”), you grant Medical You Pte. Ltd an irrevocable, perpetual, worldwide, royalty-free licence to use, incorporate, and exploit such Feedback for any purpose, without any obligation to compensate you or give you credit.

15.4 Trade Marks

“MedicalYou”, the MedicalYou logo, and all related marks, names, and slogans are trade marks or service marks of Medical You Pte. Ltd. You must not use these marks without the prior written consent of Medical You Pte. Ltd.

16. Changes to Terms

16.1 Right to Amend

Medical You Pte. Ltd reserves the right to amend these Terms at any time. Changes may be required for reasons including, without limitation: changes in applicable law or regulatory requirements; changes in the features or functionality of the Service; and changes in business practices.

16.2 Notice of Material Changes

Medical You Pte. Ltd will provide you with reasonable advance notice of material changes to these Terms. Notice will be given by one or more of the following methods:

  • in-application notification presented upon login;
  • email to the address registered with your Account;
  • publication of a revised version of the Terms on the MedicalYou website, with an updated Effective Date.

For changes that are material to your rights or obligations, notice will be given at least thirty (30) days prior to the change taking effect, unless a shorter notice period is required by law.

16.3 Deemed Acceptance

If you continue to use the Service after the effective date of any revised Terms, you will be deemed to have accepted the revised Terms. If you do not accept the revised Terms, you must stop using the Service and close your Account before the effective date of the change.

16.4 Minor Changes

Medical You Pte. Ltd may make minor, non-material changes to these Terms (such as corrections of typographical errors, clarifications that do not alter substantive rights, or renumbering of provisions) at any time without advance notice, by publishing the updated Terms with a revised Effective Date.

17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms and any dispute, controversy, or claim arising out of or in connection with these Terms, or the breach, termination, or invalidity thereof, shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict-of-law principles. The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded.

17.2 Consumer Protection Note

Where you are a consumer habitually resident in a jurisdiction whose mandatory consumer-protection laws apply to these Terms (including the European Union, the United Kingdom, or any other jurisdiction with mandatory consumer-protection legislation), those mandatory consumer-protection provisions will apply in addition to and, to the extent of any inconsistency, in preference to the provisions of these Terms. The Singapore governing-law choice does not deprive you of the protection afforded by provisions of the law of your habitual residence that cannot be derogated from by contract.

17.3 Obligation to Negotiate in Good Faith

In the event of any dispute arising out of or in connection with these Terms or the Service, the parties shall first seek to resolve the dispute through good-faith negotiation. Either party may initiate the negotiation process by giving written notice to the other, setting out the nature of the dispute and the remedy sought. The parties agree to engage in good-faith discussions for a period of at least thirty (30) days from the date of such notice before commencing any formal proceedings.

17.4 Arbitration

If the dispute is not resolved through negotiation within the period specified in Section 17.3, either party may refer the dispute to final and binding arbitration in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (“SIAC”) as in force at the date of the Notice of Arbitration, which rules are deemed incorporated by reference into this Section. The following terms apply to any such arbitration:

  • Seat of arbitration: Singapore;
  • Language: English;
  • Number of arbitrators: one (1) sole arbitrator, unless the SIAC Court determines that the circumstances warrant the appointment of three (3) arbitrators;
  • Applicable law: the laws of the Republic of Singapore;
  • Confidentiality: the arbitral proceedings, all submissions, evidence, and the award shall be kept confidential by both parties, save as required by law or for the purpose of enforcing the award; and
  • Costs: the costs of arbitration shall be determined by the arbitral tribunal in accordance with the applicable SIAC Rules.

17.5 Courts of Singapore

Nothing in Section 17.4 prevents either party from seeking urgent interlocutory relief (including injunctions) from the courts of Singapore, or from referring small-value claims to the Magistrates’ Court or District Court of Singapore, as appropriate. Either party may also elect to commence proceedings before the Singapore International Commercial Court (“SICC”) if the applicable jurisdictional requirements are satisfied.

17.6 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, CLASS ARBITRATION, CONSOLIDATED PROCEEDING, OR REPRESENTATIVE ACTION. You agree that you may not consolidate your claims with those of any other user without the prior written consent of Medical You Pte. Ltd.

Notwithstanding the foregoing, this class action waiver does not apply to the extent that applicable mandatory law in your jurisdiction prohibits such a waiver, or to the extent that you are a consumer in the European Union, the United Kingdom, or any other jurisdiction whose mandatory consumer-protection law provides you with a right to participate in collective or representative proceedings.

18. General Provisions

18.1 Severability

If any provision of these Terms is found by a court or arbitral tribunal of competent jurisdiction to be invalid, unlawful, or unenforceable for any reason, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or, if it cannot be modified, shall be severed from these Terms. The validity and enforceability of the remaining provisions shall not be affected.

18.2 Entire Agreement

These Terms, together with the Privacy Policy and the Consent Modules incorporated by reference in Section 20, constitute the entire agreement between you and Medical You Pte. Ltd with respect to the subject matter hereof and supersede all prior or contemporaneous understandings, representations, warranties, and agreements, whether written or oral, regarding the Service.

18.3 Assignment

You may not assign or transfer any of your rights or obligations under these Terms without the prior written consent of Medical You Pte. Ltd. Medical You Pte. Ltd may assign these Terms or any rights or obligations hereunder, in whole or in part, to: (a) an affiliate or subsidiary; (b) a successor entity in connection with a merger, acquisition, or sale of substantially all of the assets of Medical You Pte. Ltd; or (c) any third party as part of a restructuring or reorganisation, provided that such assignee agrees to be bound by these Terms. In the event of such an assignment, Medical You Pte. Ltd will notify you in accordance with Section 16.2.

18.4 Force Majeure

Medical You Pte. Ltd will not be liable to you for any failure or delay in the performance of its obligations under these Terms to the extent that such failure or delay is caused by circumstances beyond Medical You Pte. Ltd’s reasonable control, including without limitation: acts of God, natural disasters, pandemics or epidemics, war, terrorism, civil unrest, government actions or orders, widespread power or telecommunications failures, cyberattacks on critical infrastructure, or failures of third-party service providers (including cloud infrastructure providers) that are beyond the control of Medical You Pte. Ltd. In such circumstances, Medical You Pte. Ltd will use reasonable endeavours to resume performance as soon as practicable and will notify you of the nature and expected duration of the force majeure event.

18.5 No Waiver

The failure of Medical You Pte. Ltd to exercise or enforce any right or provision of these Terms at any time does not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorised representative of Medical You Pte. Ltd.

18.6 Relationship of the Parties

Nothing in these Terms creates a partnership, joint venture, employment relationship, agency relationship, or fiduciary relationship between you and Medical You Pte. Ltd. You have no authority to bind Medical You Pte. Ltd in any way.

18.7 Language

These Terms are written in the English language. If these Terms are translated into any other language, the English version shall prevail in the event of any inconsistency.

20. Incorporation by Reference

These Terms are read together with, and incorporate by reference, the following documents as published on the MedicalYou platform from time to time:

  • MedicalYou Privacy Policy — which sets out Medical You Pte. Ltd’s data-protection obligations, the legal bases for processing your Personal Data and Health Data (including under the Singapore PDPA, GDPR, UAE PDPL, and other applicable laws), data-retention periods, international data-transfer mechanisms, your data-subject rights, and the data-breach notification procedures.
  • Consent Module 1: Health Data Processing for Core Service — which records your explicit, informed consent to the processing of your Health Data (as special-category personal data under GDPR Article 9(2)(a) and analogous provisions) for the purpose of operating the core features of the Service. This consent is required to use the Service and is collected at onboarding.
  • Consent Module 2: Anonymised Data Commercialisation — which presents a separate, granular, opt-in, default-OFF consent toggle governing Medical You Pte. Ltd’s right to use your individually-contributed Health Data as input to the anonymisation pipeline described in Section 5.5.2, resulting in Processed Datasets that Medical You Pte. Ltd may create, use, disclose, license, and sell. Declining this consent does not affect your ability to use the Service.

In the event of any inconsistency between these Terms and the Privacy Policy, the provisions of the Privacy Policy shall prevail in relation to data-protection matters. In the event of any inconsistency between these Terms and a Consent Module, the Consent Module shall prevail in relation to the specific consent it governs.

These Terms of Service were last updated on 18 May 2026 (Version 1.0) and are effective from that date.
